and End-User License AgreementThis Agreement sets forth the terms and conditions of your use of the CPAexcel CPA Exam review course Content, Software and Documentation (the "Courseware"). By licensing or otherwise using any portion of THE COURSEWARE, YOU ARE CONSENTING TO BE BOUND BY AND BECOME A PARTY TO THIS AGREEMENT. READ THIS AGREEMENT CAREFULLY. IF YOU DO NOT AGREE TO ALL OF THE TERMS OF THIS AGREEMENT, DO NOT SIGN IN, ACITVATE OR OTHERWISE USE THE COURSEWARE.
GRANT OF LICENSE
Subject to payment and acceptance of these terms and conditions, Efficient Learning Systems, Inc. ("Licensor") grants to you ("Licensee") a limited, non-exclusive, non-transferable license to use the Courseware in the manner described in "Scope" below. All rights not expressly granted to Licensee are reserved to the Licensor.
SCOPE
Licensee may:
- use the Courseware on any single computer for Licensee.s individual use;
- use the Courseware on a second or third computer owned or controlled by Licensee so long as only one (1) copy is used at a time; and
- print one copy of the Courseware contents for personal study use only, provided that the single copy is treated in accordance with the terms and conditions contained in this Agreement.
Licensee may not:
- distribute, share, sublicense, lend, rent, lease, sell, redistribute or otherwise make the Courseware available to any third party (on the Internet, an information network or tangible media, by broadcast, Live instruction or in any other manner);
- permit concurrent use of the Courseware;
- modify, translate, reverse engineer, decompile, disassemble, attempt to derive the source code of, change, alter, modify, or create derivative works of any portion of the Courseware (except and solely to the extent an applicable statute expressly and specifically prohibits such restrictions);
- copy the Courseware or any of its contents other than as specified above;
- remove or alter any copyright, trademark, logo or other proprietary notice contained in the Courseware;
- attempt to, or encourage, or assist any third party in engaging in any activity prohibited by this Agreement; or
- use the Courseware in any manner not set forth in this Agreement or in the Documentation.
TITLE AND INTELLECTUAL PROPERTY
All right, title, and interest in and to the Courseware (including, but not limited to, any images, video, audio, text, and "apps" incorporated into the review course) and any copies of the Courseware remain the property of the Licensor. The Courseware is intellectual property of and owned by Licensor. The structure, organization, and code of any of the Courseware is valuable property of Licensor and is protected by law including, without limitation, the copyright laws of the United States and other countries, by applicable international treaty provisions. Licensor retains ownership of its intellectual property rights in, to, and under the Courseware, and Licensee may not obtain any rights therein by virtue of this Agreement or otherwise, unless expressly stated herein. This Agreement does not grant any right to use the trademarks, service marks or logos of Licensor or its licensors.
TERMINATION
This Agreement and the license granted hereunder will terminate automatically, without notice to Licensee or any third party, if Licensee breaches or otherwise fails to comply with any provision of this Agreement. Licensor may decide to terminate this Agreement at any time in its sole and absolute discretion, with or without notice to Licensee or any third party. At Licensor.s discretion, the Courseware may be designed to cease to function after a period of time has elapsed, and in such event, this Agreement will terminate automatically when the Courseware ceases to function. If this Agreement is terminated, Licensee must: (a) cease all use of the Courseware, (b) destroy the original and all copies of the Courseware, and (c) permanently delete all copies of the Courseware from the computer(s) on which it has been installed or saved. All provisions of this Agreement, except for the "Grant of License" Section and also except for the "Licensee may" Subsection of the "SCOPE" Section, shall survive any termination of this Agreement.
MODIFICATION
Because of changes in technology and the growth and development of Licensor.s business, or for other business reasons, Licensor may need to modify this Agreement from time to time. Licensor will post a notice on the Licensor.s website. It is therefore important for Licensee to regularly review Licensor.s website to ensure that Licensee is informed of any changes. Only Licensor may modify this Agreement, and Licensee is not permitted to modify this Agreement.
LICENSEE REPRESENTATIONS AND WARRANTIES
Licensee represents and warrants to Licensor that: (i) Licensee has the full power and authority to enter into and perform Licensee.s obligations under this Agreement; (ii) performance of Licensee.s obligations under this Agreement does not constitute a breach of or conflict with any other agreement or arrangement by which Licensee is bound, or any applicable laws, regulations or rules; (iii) all information provided by Licensee is accurate and current and will be updated by Licensee to remain current; (iv) this Agreement constitutes legal, valid and binding obligations on Licensee, enforceable in accordance with its terms and conditions; (v) Licensee will not infringe any patent, copyright, trademark, trade secret, right of publicity or other intellectual property or proprietary right of any third party in Licensee.s use of the Courseware; (vi) Licensee will comply with all applicable laws, rules and regulations in Licensee.s use of the Courseware, as well as the agreed upon terms of this Agreement; and (vii) Licensee understands and acknowledges that Licensor may terminate this Agreement as provided in the "Termination" Section of this Agreement.
LICENSOR REPRESENTATIONS AND WARRANTIES
Licensor warrants that any media containing the Courseware, if provided by Licensor, is free from defects in material and workmanship and will so remain for ninety (90) days from the date Licensee acquired the Courseware. Licensor's sole liability for any breach of this warranty shall be, in Licensor's sole discretion:
- to replace Licensee.s defective media or Courseware; or
- to advise Licensee how to achieve substantially the same functionality with the Courseware as described in the Documentation through a procedure different from that set forth in the Documentation; or
- if the above remedies are impracticable, to refund the purchase price Licensee paid for the Courseware, either in whole or in part.
Only if Licensee informs Licensor of Licensee.s problem with the Courseware during the applicable warranty period will Licensor be obligated to honor this warranty. Licensor will use reasonable commercial efforts to repair, replace, advise or, for individual consumers, refund pursuant to the foregoing warranty within thirty (30) days of being so notified.
If any modifications are made to the Courseware by Licensee during the warranty period; if the media are subjected to accident, abuse, or improper use; or if Licensee violates the terms of this Agreement, then this warranty shall immediately terminate. Moreover, this warranty shall not apply if the Courseware is used on or in conjunction with hardware or software other than the unmodified version of hardware and software with which the Courseware was designed to be used as described in the Documentation.
THIS IS A LIMITED WARRANTY, AND IT IS THE ONLY WARRANTY MADE BY LICENSOR. LICENSOR MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT OF THIRD PARTIES' RIGHTS. LICENSEE MAY HAVE OTHER STATUTORY RIGHTS. HOWEVER, TO THE FULL EXTENT PERMITTED BY LAW, THE DURATION OF STATUTORILY REQUIRED WARRANTIES, IF ANY, SHALL BE LIMITED TO THE ABOVE LIMITED WARRANTY PERIOD. MOREOVER, IN NO EVENT WILL WARRANTIES PROVIDED BY LAW, IF ANY, APPLY UNLESS THEY ARE REQUIRED TO APPLY BY STATUTE NOTWITHSTANDING THEIR EXCLUSION BY CONTRACT. NO DEALER, AGENT, OR EMPLOYEE OF LICENSOR IS AUTHORIZED TO MAKE ANY MODIFICATIONS, EXTENSIONS, OR ADDITIONS TO THIS LIMITED WARRANTY. LICENSEE BEARS THE ENTIRE RISK AS TO SELECTING THE COURSEWARE FOR LICENSEE.S PURPOSES.
LIMITATION OF LIABILITY
UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY, TORT, CONTRACT, OR OTHERWISE, SHALL LICENSOR OR ITS SUPPLIERS OR RESELLERS BE LIABLE TO LICENSEE OR ANY OTHER PERSON FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR LOSSES. IN NO EVENT WILL LICENSOR BE LIABLE FOR ANY DAMAGES IN EXCESS OF THE AMOUNT LICENSOR RECEIVED FROM LICENSEE FOR A LICENSE TO THE COURSEWARE, EVEN IF LICENSOR SHALL HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY THIRD PARTY. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS EXCLUSION AND LIMITATION MAY NOT APPLY TO LICENSEE.
U.S. GOVERNMENT END USERS
The Courseware is a "commercial item," as that term is defined in 48 C.F.R. 2.101 (Oct.1995), consisting of "commercial computer software" and "commercial computer software documentation," as such terms are used in 48 C.F.R. 12.212 (Sept. 1995). Consistent with 48 C.F.R. 12.212 and 48 C.F.R. 227.7202-1 through 227.7202- 4 (June 1995), all U.S. Government End Users acquire the Courseware with only those rights set forth herein.
PERSONAL INFORMATION AND PRIVACY
The Courseware requires the collection and analysis of personal information in order to provide personalized information services like schedules, study recommendations and performance analyses. Licensor agrees to keep Licensee.s personal information confidential and to use it only for the purpose of enhancing Licensee.s educational objectives. Licensee agrees to provide the personal information for as long as Licensee makes use of the Courseware. Licensee can read our privacy policy.
UPDATES
Licensor may from time to time make available to Licensee updates and upgrades for the Courseware, subject to the terms and conditions of this Agreement, or, in Licensor.s sole discretion, may make conditional release of such updates and upgrades to Licensee upon Licensee.s acceptance of another agreement or other execution of a separate agreement. If Licensee should elect to install or otherwise use updates and/or upgrades, Licensee.s use of such will be subject to the applicable license and the terms and conditions of this Agreement or other agreement.
FORUM GUIDELINES
CPAexcel contains a variety of dedicated discussion areas:
1. Student Discussions are moderated by CPAexcel Support Staff and are intended to foster peer discussion of all things CPA Exam related.
2. Mentored Discussions are available to those users who have purchased the mentoring service and are reserved for questions about content.
3. Support Discussions:
a. Product and Technical Support/Help Desk: These areas contain a link to the Help Desk, also accessible from the main menu. Technical issues posted here will receive a prompt response from CPAexcel Support Staff.
b. Study Support: Monitored by one of our subject matter experts, this forum permits posting of questions not suited to a specific lesson further down in the table of contents.
By accepting this Agreement and/or participating in any of the discussion areas, Licensee acknowledges and agrees to abide by the following guidelines:
1. Post to the appropriate forum. To facilitate a timely response to user questions, users are asked to make an effort to communicate via the appropriate channel:
a. Specific content questions should be posted in the mentored discussion area of the lesson that houses the content.
b. General questions for a mentor may be posted in the discussion forum attached to the Study Support lesson.
c. Score Reset Requests may be emailed to support@cpaexcel.com, or posted in the Help Desk, or the dedicated category in the Student Discussion forum.
d. Technical problems are handled by CPAexcel Support Staff and not the professor mentors. Though CPAexcel Support Staff does monitor all mentored discussions, contacting technical support directly will result in quicker resolution.
e. All other questions and comments should be posted to the Student Discussion forum available near the top of the table of contents in each of the four parts of CPAexcel.
2. Be constructive. Complaints should be mailed directly to info@cpaexcel.com. Licensor will address all issues and endeavor to solve them in a timely fashion; however, unconstructive criticism will be removed from the CPAexcel Discussion Forums.
3. Be nice. CPAexcel students should post in a way that is respectful of other users. CPAexcel Support Staff reserves the right to edit or remove any post at any time, and the determination of what is construed as indecent, vulgar, spam, etc. is at the sole discretion of CPAexcel Support Staff. Repeated abuse of the discussion forums may result in termination of discussion forum and/or CPAexcel access without refund.
4. Use an appropriate, descriptive subject line when posting a new topic. Examples of bad titles include: "Help me!" and "I don.t understand!" Examples of good titles include: "Why is PQ1423 False? ", "Flashcards in Extinguishment is blank." etc.
5. Use clear, concise and grammatically correct business English to ensure prompt answers from CPAexcel Support Staff. We remind you that the CPA Exam is given in English only and success in passing requires a certain level of language and reading comprehension skills. A student lacking in those skills, even if meeting the minimum requirements for taking the exam, has a very low possibility of passing. CPAexcel does not provide English language instruction beyond the guidance and resources provided in the Written Communication lesson in the BEC section of CPAexcel.
Additional guideline pertaining only to the professor mentored discussion areas:
1. Don.t post off-topic. The scope of the exam is broad enough without introducing discussions about, or questions on, material not explicitly covered in the CPAexcel Review Course. Questions deemed unrelated or .off-topic. will be ignored and/or removed.
Note: In order to keep the forum archives relevant, posts discussing content that has been removed, changed or updated will be removed.
Reminder: Exam candidates sign a non-disclosure agreement when sitting for the exam. We understand that discussion of material you saw tested on the exam may be helpful to your fellow candidates, but we ask that you refrain from posting any specific information that may contravene the agreement you signed on exam day. General discussion of exam content is not prohibited.
GENERAL
This Agreement constitutes the entire agreement between the parties regarding the use of the Courseware and supersedes any prior or contemporaneous understandings and agreements between the parties related to such subject matter.
THE ACCEPTANCE OF ANY PURCHASE ORDER PLACED BY LICENSEE IS EXPRESSLY MADE CONDITIONAL ON LICENSEE.S ASSENT TO THE TERMS AND CONDITIONS SET FORTH HEREIN, AND NOT THOSE IN YOUR PURCHASE ORDER.
The parties agree that each provision of this Agreement is intended to be construed to be enforceable to the fullest extent possible. If any provision or part of a provision of this Agreement is held to be unlawful, void, or unenforceable, that provision or part of the provision shall be deemed severable from this Agreement and not affect the validity and enforceability of any remaining provisions.
All disputes arising out of or relating to this Agreement (including its formation, performance, or alleged breach) or your use of the Courseware shall be governed by the substantive law of the State of Arizona (without giving effect to any conflict of law principal arising under Arizona law). The Convention for the International Sale of Goods shall not apply. Any litigation arising out of or under this Agreement or your use of the Courseware may be brought only in federal or state courts located in Maricopa County in the State of Arizona. The parties waive any and all objections to the venue in those Courts and hereby submit to the jurisdiction of those courts. Licensee hereby waives all rights and/or entitlements to a trial by a jury in connection with any dispute that arises out of or relates in any way to this Agreement.
By entering into this Agreement, Licensee hereby irrevocably waives any right Licensee may have to join claims with those of others in the form of a class action or similar procedural device. Any claims arising out of, relating to, or in connection with this Agreement must be asserted individually.
Any failure by Licensor to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision.
Licensee may not assign Licensee.s rights under this Agreement to any third party; Licensor may assign any rights under this Agreement without condition.
The section titles in this Agreement are for convenience only and have no legal or contractual effect.
